Agreement to Terms

By using CDMA All Season Solutions’ services, you agree to these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

Services Provided

CDMA All Season Solutions provides commercial snow removal, parking lot maintenance, landscaping, and related year-round property maintenance services as outlined in individual service agreements. Specific service details, schedules, and pricing are defined within each contract.

Service Contracts and Pricing

Seasonal Contracts

• Seasonal snow removal contracts cover the period from November 1 to March 31, unless otherwise specified in writing

• Pricing is fixed for the duration of the contract

• Contract clients receive priority service

• Contracts automatically renew unless 30 days written notice is provided prior to renewal

Per-Visit Services

• Charged based on actual services performed

• Pricing may fluctuate based on weather severity and site conditions

• Service availability is subject to current workload and operational capacity

• Payment is due within 15 days of invoice

Snow Removal Trigger Depths

Unless otherwise specified in a written service agreement:

• The standard snow removal trigger depth is 0.5 cm (approximately 0.2 inches) of accumulated snowfall

• Snowfall accumulation may be determined using Environment Canada data, on-site measurements, contractor observations, and industry-accepted practices

• CDMA All Season Solutions reserves the right to initiate service proactively based on forecasted conditions, drifting, freezing rain, compaction, ice formation, or site-specific safety concerns, regardless of measured accumulation

• During prolonged, continuous, or severe weather events, multiple service visits may be required, and full clearing may not be achievable until the event has ended

• Light dustings or trace snowfall below the stated trigger depth may still result in service at the contractor’s discretion to maintain site safety

• Custom trigger depths, zero-tolerance service, or enhanced ice management programs are available upon request and may affect pricing

Client Responsibilities

Clients agree to:

• Provide accurate and complete property information

• Ensure clear and unobstructed access to all service areas

• Clearly mark curbs, wheel stops, fire hydrants, obstacles, and sensitive areas

• Notify CDMA All Season Solutions of any site changes, hazards, or concerns

• Maintain adequate lighting for winter operations

• Ensure proper drainage and functioning catch basins

• Pay all invoices within agreed payment terms

Our Responsibilities

CDMA All Season Solutions commits to:

• Perform services in accordance with contract specifications

• Use appropriate equipment suitable for the property

• Document service visits when applicable

• Maintain proper insurance coverage

• Address service concerns in a timely and professional manner

• Conduct operations in a courteous and professional way

Property Damage

• CDMA All Season Solutions maintains comprehensive liability insurance

• We are liable only for damage caused directly by our proven negligence

• We are not liable for damage to unmarked obstacles, existing pavement damage, or issues caused by pre-existing property conditions

• Curbs, wheel stops, and sensitive areas must be clearly marked

• Any damage claims must be reported within 7 days of the alleged occurrence

Force Majeure and Service Limitations

CDMA All Season Solutions is not liable for:

• Inability to perform services due to extreme weather, equipment failure, labor shortages, or circumstances beyond our control

• Ice conditions resulting from improper drainage or property design

• Snow accumulation occurring during active business hours when service was not scheduled

• Damage caused by freeze-thaw cycles between service visits

• Snow or ice conditions occurring outside the contracted seasonal period

Liability Limitations

• CDMA All Season Solutions’ total liability is limited to the annual contract value or $25,000, whichever is less

• We are not responsible for indirect, incidental, or consequential damages, including lost revenue

• Clients are responsible for maintaining their own slip-and-fall liability insurance

Service Standards

Snow Removal

• Contract properties will be serviced within agreed timeframes following qualifying snowfall

• Services are performed according to contracted trigger depths

• Sanding and de-icing services are provided only if included in the service agreement

Quality Standards

• Professional equipment operation

• Proper snow placement and management

• Cleanup of tracked snow at main entrances where applicable

• Reasonable efforts to maintain safe and accessible driving and walking surfaces

Cancellation and Termination

Client Cancellation

• Seasonal contracts require 30 days written notice

• Early cancellation may result in per-visit billing for services already rendered

• Landscaping and lawn care contracts require 15 days notice

Our Cancellation

• CDMA All Season Solutions reserves the right to suspend or terminate services for non-payment

• Contracts may be terminated with 30 days notice for cause

Payment Terms

• Seasonal payment schedules are outlined in individual contracts

• Per-visit invoices are due within 15 days

• Late payments are subject to 2% monthly interest

• Services may be suspended for accounts 30+ days overdue

Weather Monitoring Disclaimer

While CDMA All Season Solutions actively monitors weather conditions, we rely on public forecasts and observations. Unpredicted or localized weather events may impact service timing or results.

Modifications to Terms

CDMA All Season Solutions reserves the right to modify these Terms and Conditions with notice to contract clients. Continued use of services constitutes acceptance of updated terms.

Dispute Resolution

Disputes will first be addressed through good-faith negotiation. Any unresolved disputes shall be resolved through arbitration in Edmonton, Alberta, under the laws of Alberta.

Entire Agreement

These Terms and Conditions, together with any signed service agreements, constitute the entire agreement between the client and CDMA All Season Solutions Ltd.
